BDF Global provides professional computer systems design and integrated solutions, including but not limited to:

• Computer systems design and architecture services
• Computer integrated systems design and implementation
• Professional consulting and advisory services
• Scientific and technical services
• Management and technical consulting
• Research and development services
• Specialized design services
• Technical support and maintenance

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We are not liable for any modification, suspension, or discontinuation of services.

3. User Accounts and Registration

3.1 Account Creation

To access certain features of our services, you may be required to create an account. When creating an account, you must:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your account credentials

• Not use automated systems (bots, scrapers) without our written permission
• Not reverse engineer, decompile, or disassemble any part of our services

5. Intellectual Property Rights

5.1 Our Intellectual Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, images, software, code, and design, are owned by BDF Global or our licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, lease, or create derivative works from our content without our express written permission.

"BDF Global" and related logos, product names, and service names are trademarks of Bdf International Ltd. You may not use these trademarks without our prior written consent.

By submitting, posting, or uploading content to our services, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with providing and promoting our services.

6. Payment Terms

6.1 Fees and Charges

Certain services may require payment of fees. All fees are stated in the applicable currency and are non-refundable unless otherwise specified. You agree to pay all fees and charges associated with your use of our services.

6.2 Payment Methods

We accept various payment methods as indicated on our website. By providing payment information, you represent and warrant that you are authorized to use the payment method and authorize us to charge all fees to that payment method.

6.3 Billing and Invoicing

For subscription-based services, you will be billed on a recurring basis according to the billing cycle you selected. We will provide invoices for all charges. You are responsible for paying all applicable taxes.

6.4 Late Payment

Late payments may result in suspension or termination of services. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

We reserve the right to modify our fees at any time. We will provide reasonable notice of any fee changes, and continued use of our services after the effective date constitutes acceptance of the new fees.

7. Confidentiality

In the course of providing services, we may have access to your confidential information. We agree to:

• Not disclose confidential information to third parties without your consent, except as required by law

Similarly, you agree to maintain the confidentiality of any proprietary information, methodologies, or trade secrets we share with you.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However, we do not guarantee that our services will meet all your requirements or be error-free, uninterrupted, or secure.

8.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT:

• Our services will be uninterrupted, timely, secure, or error-free
• The results obtained from using our services will be accurate or reliable
• The quality of any products, services, information, or other material obtained through our services will meet your expectations
• Any errors in our services will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BDF GLOBAL, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

• Your access to or use of or inability to access or use our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless BDF Global, its officers, directors, employees, agents, affiliates, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations
• Any content you submit, post, or transmit through our services

11. Third-Party Services and Links

Our services may contain links to third-party websites, applications, or services that are not owned or controlled by BDF Global. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

You acknowledge and agree that BDF Global shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of any third-party services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party services you visit or use.

12. Data Protection and Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

We comply with applicable data protection laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada, the General Data Protection Regulation (GDPR) in the European Union, and other relevant privacy regulations.

13. Term and Termination

13.1 Term

These Terms remain in effect while you use our services or maintain an account with us.

13.2 Termination by You

You may terminate your account and stop using our services at any time by contacting us at contact@bdfglobal.mom.

13.3 Termination by Us

We may suspend or terminate your access to our services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• At our sole discretion for any other reason

13.4 Effect of Termination

Upon termination:

• Your right to use our services will immediately cease
• We may delete your account and all associated data
• You remain liable for all fees and charges incurred prior to termination
• Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14.2 Jurisdiction

You agree that any legal action or proceeding arising out of or related to these Terms or our services shall be brought exclusively in the courts located in Vancouver, British Columbia, Canada, and you consent to the personal jurisdiction of such courts.

14.3 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at contact@bdfglobal.mom. We will attempt to resolve the dispute informally through good faith negotiations.

14.4 Arbitration

If we cannot resolve a dispute informally, any dispute arising out of or related to these Terms or our services shall be resolved through binding arbitration in accordance with the Arbitration Act of British Columbia. The arbitration shall be conducted in English in Vancouver, British Columbia.

14.5 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us, constitute the entire agreement between you and BDF Global regarding our services.

15.2 Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes become effective constitutes acceptance of the modified Terms.

15.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

15.4 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

15.5 Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction.

15.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.7 Relationship of Parties

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and BDF Global. You have no authority to bind BDF Global in any manner.

15.8 Language

These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in case of any inconsistency or discrepancy.
